NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Notifications made in accordance with DTR 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules:

The Company was notified yesterday that Ian King, a Person Discharging Managerial Responsibilities, exercised options over 20,622 ordinary shares of 2.5 pence each in BAE Systems plc under the BAE Systems Performance Share Plan at nil consideration on 11 May 2016 and subsequently disposed of 11,431 of those shares at a price of 492 pence per share. Shares were sold solely to meet national insurance and income tax falling due on exercise.

Following the transaction Mr King's personal shareholding in BAE Systems increased to 1,862,143 shares.

The transaction took place on the London Stock Exchange.
