NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ("PDMR") OR THEIR CONNECTED PERSONS

Notifications made in accordance with DTR 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules:

(i)  The Company was notified yesterday that the following PDMRs purchased ordinary shares of 2.5p each in BAE Systems plc at a consideration of 544.55 pence per share ("Deferred Shares") under the BAE Systems Deferred Bonus Plan on 25 March 2015.  The transaction took place on the London Stock Exchange.  The number of shares acquired was as follows:
