NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Notifications made in accordance with DTR 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules:

The Company was notified today that Ian King, a Person Discharging Managerial Responsibilities (PDMR), exercised an option over 221,903 ordinary shares of 2.5 pence each in BAE Systems plc under the BAE Systems Executive Share Option Plan at an option price of 264 pence per share on 13 August 2014 and subsequently disposed of 183,438 of those shares at a price of 430.95 pence per share to cover the option price and tax withholdings.  The expiry date for this option was March 2015.  After this transaction Ian King's beneficial holding in BAE Systems shares has increased by 38,465 to 1,731,480.

The transaction took place on the London Stock Exchange.
