NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Notification made in accordance with Rule 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules.

(i)      The Company was notified today by the trustee of the BAE Systems Share Incentive Plan, Capita IRG Trustees Limited, that on 31 March 2014 the following Persons Discharging Managerial Responsibilities (PDMRs) acquired ordinary shares of 2.5 pence each in BAE Systems plc under the Free Shares element of the BAE Systems Share Incentive Plan at nil consideration.

The Free Shares were sourced from Treasury Shares.

The number of shares acquired by each PDMR is as follows:

(ii)     The Company was notified today that Tom Arseneault, a PDMR, acquired 48,404 ordinary shares of 2.5 pence each in BAE Systems plc under the BAE Systems Restricted Share Plan.  No consideration was paid for the acquisition of these shares, which were sourced from treasury shares.  Subsequently, 33,735 of those shares were disposed of at a price of 412.6 pence per share.  The transaction took place on the London Stock Exchange.
