NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Notifications made in accordance with DTR 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules:

The Company was notified today that on 24 March 2014 Tom Arsenault, a Person Discharging Managerial Responsibilities, acquired 5,709 ordinary shares of 2.5 pence each in BAE Systems plc under the BAE Systems Performance Share Plan (which include additional shares deriving from the notional dividends on these awards which have accrued during the three year performance period), the related performance condition having been met.  No consideration was paid for the acquisition of these shares, which were sourced from treasury shares.  Subsequently, 2,245 of those shares were disposed of at a price of 403.8 pence per share.  The transaction took place on the London Stock Exchange.
