NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Notifications made in accordance with DTR 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules:

The Company was notified on 1 August 2013 that:

1.   Alan Garwood, a Person Discharging Managerial Responsibilities, disposed of 5,000 ordinary shares of 2.5 pence each in BAE Systems plc on 1 August 2013 at a price of 451.9 pence per share; and

2.   Katerina Garwood, a connected person, disposed of 25,000 ordinary shares of 2.5 pence each in BAE Systems plc on 1 August 2013 at a price of 451.9 pence per share.

The transactions took place on the London Stock Exchange.
