NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Notifications made in accordance with DTR 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules:

1.   The Company was notified today that Philip Bramwell, a Person Discharging Managerial Responsibilities (PDMR) disposed of 45,000 ordinary shares of 2.5 pence each in BAE Systems plc at a price of 455.4 pence per share on 1 August 2013. 

2.   The Company was notified today that Ian King, a PDMR, exercised an option over 272,388 ordinary shares of 2.5 pence each in BAE Systems plc under the BAE Systems Executive Share Option Plan at an option price of 201 pence per share on 1 August 2013 and subsequently disposed of 204,419 of those shares at a price of 451.2 pence per share to cover the option price and tax withholdings. 

Both sale transactions took place on the London Stock Exchange.
