NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Notification made in accordance with DTR 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules.

The Company was notified yesterday that on 18 April 2013:

1.         Paula Rosput Reynolds, a Non-Executive Director of the Company, acquired 4,000 American Depository Receipts ("ADRs"), representing 16,000 ordinary shares of 2.5 pence each in BAE Systems plc, at a price of $23.28 per ADR; and

2.         Steve Reynolds, a connected person, acquired 1,000 ADRs, representing 4,000 ordinary shares of 2.5 pence each in BAE Systems plc at a price of $23.29  per ADR.

The transactions took place on an OTC basis in the United States.
