Confirmations

The Directors of the Babylon Pump & Power Limited , previously “IM Medical Limited”, (“BPP” or the “Company”) are pleased to confirm the following:

• The conditions of the Public Offer have been satisfied, each of the Offers under the Company’s Prospectus dated 24 October 2017 (“Prospectus”) are now closed, and all of the securities of the respective Offers have been issued and allotted.

• Each of the conditions precedent to the agreement between the Company and the Vendors for the Company to acquire Babylon (“Acquisition Agreement”) have been satisfied (without waiver) and completion of the Acquisition Agreement has occurred.

• The Company advises that there have been no material subsequent events to alter the Company’s consolidated statement of financial position as detailed in the Prospectus.

• The Company is in compliance with the Listing Rules and in particular Listing Rule 3.1.
