Completion of Share Purchase Plan & Placement
Melbourne, (22 July 2015) : IM Medical Limited (ASX: IMI; IMI or the Company) advises that the Company’s Share Purchase Plan (SPP) closed on 15 July 2015 with applications totalling $205,000. The SPP was underwritten to $550,000 and the shortfall of $345,000 has been placed with the underwriter Patersons Securities Limited. The Company has also raised an additional $82,259 under a top-up Placement conducted on the same terms as the SPP.
Shares under the SPP and the top-up Placement will be issued at 0.1 cents per share and accordingly the number of securities for which quotation is sought is 687,400,208 Fully Paid Ordinary Shares and 433,064,755 Options including 275,000,000 underwriter options. As a result of the issue, the total issued capital of the Company following allotment now stands at 1,163,632,818 Fully Paid Ordinary Shares and 791,921,259 listed Options.
The issue price per Share and the terms of the free attaching Options are the same as for the Shares and Options issued under the recently completed Share Purchase Plan. The placement was made to professional and sophisticated investors introduced by the Lead Manager, Patersons Securities Limited.
The Company has now repaid the outstanding Converting Loans in full from the proceeds of the SPP and is now debt free. Funds raised from the Placement will be used to supplement the working capital.
The Company confirms that it is in compliance with ASX Listing Rule 3.1
