CHANGE OF COMPANY SECRETARY

The board of directors (the “ Board ”) of VXL Capital Limited (the “ Company ”) announces that Ms. Lim Yi Ping (“ Ms. Lim ”) has resigned as the Company Secretary of the Company with effect from 13 November 2013. Ms. Lim has confirmed that she has no disagreement with the Board and there are no other matters relating to her resignation that need to be brought to the attention of the shareholders of the Company and The Stock Exchange of Hong Kong Limited (“ Stock Exchange ”).

The Board also announces that Mr. Kwok Siu Man (“ Mr. Kwok ”) has been appointed as the Company Secretary of the Company with effect from 13 November 2013. Mr. Kwok is the Head of Corporate Secretarial in Boardroom Corporate Services (HK) Limited. Mr. Kwok is a fellow member of The Institute of Chartered Secretaries and Administrators and The Institute of Financial Accountants in England and The Hong Kong Institute of Chartered Secretaries (“ HKICS ”) and possesses a number of other professional qualifications. He holds a post-graduate diploma in laws and a bachelor’s degree in accountancy and has extensive experience in company secretarial practice. In addition, Mr. Kwok was the chief examiner and the longest-serving director of the HKICS. Currently, Mr. Kwok is acting as the company secretary of each of Far East Hotels And Entertainment Limited (Stock Code: 37), Guangdong Yueyun Transportation Company Limited (Stock Code: 3399) and OTO Holdings Limited (Stock Code: 6880), all of which are companies listed on the Stock Exchange.

The Board would like to take this opportunity to express its sincere appreciation to Ms. Lim for her valuable contribution to the Company as the Company Secretary of the Company and welcome Mr. Kwok on his new appointment.
