The company is pleased to update regarding the submission to the court of two motions for approval of settlement agreements in two class action lawsuits, as detailed below:

1 Further to the provisions of sections 2.18.1(t) and 6.2.3 of the Company's periodic report for 2024¹ and section 7.3 of the Company's quarterly report as of September 30, 2025², regarding a unied motion for the approval of a class action led by shareholders of the Company and of Bezeq The Israel Telecommunication Corp. Ltd. (Bezeq) against the Company, Bezeq, and 90 additional respondents (collectively – the Respondents), the Company is honored to update that on November 24, 2025, the parties submitted to the court a motion for approval of a settlement agreement, according to which, for settlement purposes only and without constituting any admission by the Respondents, and in consideration of a full and nal settlement of all claims related to the approval motion, and subject to approval of the settlement agreement by the court and its becoming nal and binding, a total and nal amount of 75 million NIS (the settlement amount) will be paid. Out of the settlement amount, the Company will bear only 1.4 million NIS.

2 Further to the provisions of sections 2.18.1(h) and 6.2.2 of the Company's periodic report for 2024 and section 7.2 of the Company's quarterly report as of September 30, 2025, regarding partial approval of a class action led by a shareholder of Bezeq against the Company (whose approval motion against it was rejected), Bezeq and members of Bezeq's board of directors, the Company is honored to update that on November 24, 2025, the parties submitted to the court a motion for approval of a settlement agreement in the case.

According to the settlement agreement, for settlement purposes only and without any admission by the defendants, and in consideration of a full and nal settlement of all claims related to the approval motion, and subject to approval of the settlement agreement by the court, a total amount of 8.55 million NIS (the settlement amount) will be paid, in which the Company does not bear any share.
