Pursuant to Regulation 30 read with Clause 5 of Para B of Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and in continuation to our earlier communication made on 18[th] September 2023 and 26[th] December 2023, this is to inform you that the Company has closed the deal with Dhaneswari Wood Products Limited (DWPL) to acquire its Moheema Tea Estate situated at Golaghat, Assam. The process of acquisition has been completed today and the said garden has been handed over to the Company by DWPL.

Details of event disclosed hereinabove in terms of Clause 5 of Para B of Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 is attached herewith.

• (ii) Purpose of entering into the agreement:

• Closure of Agreement for purchase of Moheema Tea Estate located at Golaghat, Assam from DWPL and subsequent handover of the Estate to the Company on 25[th] January 2024

• (iii) Size of the Agreement: (Background of Moheema Tea Estate)

“ Moheema Tea Estate” is a 150 years old garden located at a stretch of approximately 27 km from Jorhat City and 17 km from Golaghat, Assam. The earlier ownership of the Estate was vested with Shaw Wallace, Saharia Group and Alchemist Group from time to time which later in 2015 was taken by the current owners Dhaneswari Wood Product Limited (Newar Group). The garden is planted with best Tea Bushes (Jaat) TV1, TV23, TV17 and TS520 which provide the best quality of tea leafs in the nearby district. The Moheema Tea Estate is one of the finest tea leaf production estate since 1971. Moheema Tea Estate is having a total grant area of land 576.74 hectares more or less. The cumulative area under plantation is 314.92 hectares more or less, along with nursery, Factory Shed and Building, Bungalows and Plant & Machineries situated thereat.

• (iv) Shareholding, if any, in the entity with whom the agreement is executed: Nil

• (v) Significant terms of the agreement (in brief), special rights like right to appoint directors, first right to share subscription in case of issuance of shares, right to restrict any change in capital structure etc., Nil

• (vi) Whether said parties are related to promoter/promoter group/group companies in any manner. If yes, nature of relationship: No, Not applicable
