Azimut, through Azimut Capital Management SGR, enters into a sale and purchase agreement for the acquisition of the investment management business' going concern of Sofia SGR
Milan, 20 February 2018
Azimut Holding S.p.A., through its subsidiary Azimut Capital Management SGR S.p.A. ("Azimut SGR"), entered into a sale and purchase agreement with Sofia Gestione del Patrimonio SGR S.p.A. under Extraordinary Administration ("Sofia SGR") and Sofia Partners S.p.A. ("Sofia Partners"), the latter as main shareholder of Sofia SGR, that provides the acquisition by Azimut SGR of the Sofia SGR's investment management business' going concern (the "Going Concern").
The Going Concern is mainly active in the following areas: (i) collective asset management business, (ii) individual investment portfolio management, (iii) investment management under delegation granted by Italian and foreign investments portfolio services' providers and investment management companies and (iv) financial advisory services.
As a result of the transaction, Azimut SGR will take over the management, inter alia, of four open-end investments funds, instituted, promoted and currently managed by Sofia SGR, and will increase its network with the 47 financial advisors, to which on 31 December 2017 were attributable assets under management of ca. €800 million.
At the closing date, Azimut SGR will pay to Sofia SGR an initial purchase price of €3 million and, after 24-months, an additional portion of the purchase price to be determined on the basis of the performance of the assets under management transferred to Azimut SGR and their net profitability.
The sale and purchase agreement provides in favor of Azimut SGR several representations and warranties (typical for transactions of such nature) aimed at protecting the purchaser from the risks connected to the activity carried out by the Going Concern until its transfer.
The transaction - whose effectiveness is subject to, inter alia, the required authorizations of the Bank of Italy - is aimed to grant the continuity of the Going Concern's activity.

Azimut, tramite Azimut Capital Management SGR, sottoscrive un contratto per l'acquisizione del ramo di azienda di Sofia SGR

Azimut Holding S.p.A, tramite la controllata Azimut Capital Management SGR S.p.A. ("Azimut SGR"), ha sottoscritto con Sofia Gestione del Patrimonio SGR S.p.A. in Amministrazione Straordinaria ("Sofia SGR") e Sofia Partners S.p.A. ("Sofia Partners"), quale socio di maggioranza di Sofia SGR, un accordo che prevede l'acquisto da parte di Azimut SGR delle attività di Sofia SGR (l'"Azienda").
L'Azienda è destinata principalmente all'esercizio dei servizi di (i) gestione collettiva del risparmio, (ii) gestione su base individuale di portafogli di investimento per conto terzi, (iii) gestione in regime di delega conferita da soggetti che prestano il servizio di gestione di portafogli di investimento e da parte di OICR, italiani e/o esteri e (iv) consulenza in materia di investimenti in strumenti finanziari.
Per effetto dell'operazione, Azimut SGR subentrerà nella gestione, tra l'altro, di quattro fondi comuni di investimento aperti istituiti, promossi e attualmente gestiti da Sofia SGR, e incrementerà la propria rete con i 47 consulenti finanziari di Sofia SGR ai quali al 31 dicembre 2017 erano riconducibili assets under management pari a circa €800 milioni.
In concomitanza con il trasferimento dell'Azienda, Azimut SGR corrisponderà a Sofia SGR un corrispettivo base pari a €3 milioni nonché, decorsi ventiquattro mesi, l'eventuale residua parte variabile del prezzo che sarà determinata in base all'andamento degli assets under management trasferiti ad Azimut SGR e alla loro redditività netta.
L'accordo prevede a favore di Azimut SGR una serie di dichiarazioni e garanzie sui rischi connessi all'attività svolta dall'Azienda sino al suo trasferimento, tipiche per operazioni di tale natura.
L'operazione - il cui perfezionamento è subordinato, tra l'altro, all'ottenimento delle necessarie autorizzazioni, assensi e/o nulla osta da parte della Banca d'Italia - è volta a garantire la continuità dell'attività dell'Azienda.
