AZIMUT'S SWISS SUBSIDIARY, AZ SWISS & PARTNERS, STRIKES ITS FIRST ACQUISITION IN SWITZERLAND WITH THE AIM TO CREATE AN INDEPENDENT ASSET MANAGEMENT PLAYER

Milan/Lugano, 29 th June 2016

AZ Swiss & Partners S.A. ("AZ Swiss") today signed a binding sale and purchase agreement to acquire the business as a going concern of Sogenel Capital Holding S.A. ("Sogenel"), including all relevant assets under management, clients, contracts, and agreements, which will form a new division within AZ Swiss to be headed by Sogenel's current founder and CEO. With this acquisition AZ Swiss is starting to deploy its strategy based on: (i) the management of mutual funds (both UCITS and FIA) and discretionary portfolios; (ii) the distribution of funds to qualified investors (HNW and institutional clients); (iii) the consolidation of independent asset managers and private bankers in Switzerland to grow an independent wealth management platform.

AZ Swiss was established in 2012 and, on January 2016, has received the authorization from the FINMA, the Swiss Financial Market Supervisory Authority, to operate under a LICol license. AZ Swiss is majority owned by the Azimut Group, Italy's leading independent asset manager, established in 1989 and today operating in 15 countries with € 39.3bn (equivalent to CHF 42.6bn) in AuM and more than 1,600 financial consultants and private bankers.

Sogenel was founded in Lugano in 2014 by Mr. Enrico Crasso after more than 30 years of experience in the wealth management industry within the major private banking institutions. The company offers wealth management services under discretionary mandates and cooperates with a range of Siwss based custodian banks and products providers. As at May 2016 Sogenel manages AuM of CHF 640mn (€ 591mn) predominantly for institutional clients and comprises a team of 4 staff.

The valuation of the business as a going concern of Sogenel has been based on the 2015 pro-forma net profit adjusted for any item not included in the transaction perimeter. In addition, the parties have agreed on a price adjustment linked to the attainment of certain targets over the medium term. The closing of the transaction foresees a notification to FINMA and is expected to occur in July 2016, upon satisfaction of some conditions precedent provided in the sale and purchase agreement. Azimut and Mr. Crasso have also agreed to work together to grow the business in Switzerland over the medium-long term.

AZ SWISS & PARTNERS, SOCIETA' SVIZZERA DEL GRUPPO AZIMUT, ANNUNCIA LA PRIMA ACQUISIZIONE IN TERRITORIO ELVETICO DOVE PUNTA A DIVENTARE UN ASSET MANAGER INDIPENDENTE

AZ Swiss & Partners S.A. ("AZ Swiss") ha firmato in data odierna un contratto di compravendita vincolante per l'acquisto del ramo d'azienda di Sogenel Capital Holding S.A. ("Sogenel"), comprensivo di tutte le masse, clienti, contratti e accordi, che darà vita a una nuova divisione all'interno di AZ Swiss guidata dall'attuale fondatore e AD di Sogenel. Con questa acquisizione AZ Swiss inizia la propria strategia di business basata su: (i) la gestione di fondi comuni (sia UCITS che FIA) e gestioni patrimoniali; (ii) la distribuzione di fondi ad investitori qualificati (HNWI e clienti istituzionali); (iii) il consolidamento di gestori indipendenti e private bankers in Svizzera per sviluppare una piattaforma indipendente di wealth management.

AZ Swiss è stata fondata nel 2012 e a gennaio 2016 ha ricevuto l'approvazione dalla FINMA, l'autorità di vigilanza svizzera, per operare tramite la licenza LICol. AZ Swiss è detenuta in maggioranza dal Gruppo Azimut, il principale gruppo italiano indipendente nel risparmio gestito fondato nel 1989, che opera in 15 Paesi nel mondo con ca. € 39,3 miliardi (ca. CHF 42.6 miliardi) di masse totali e oltre 1.600 consulenti finanziari e private bankers.

Sogenel è stata fondata a Lugano nel 2014 da Enrico Crasso, dopo oltre 30 anni di esperienza nel settore del wealth management all'interno di primarie istituzioni finanziarie. La società ha sviluppato un servizio di wealth management che si basa su gestioni patrimoniali con gli assets della propria clientela depositati presso banche svizzere, avvalendosi anche di accordi con case di investimento internazionali. A maggio 2016 Sogenel gestiva masse per CHF 640 milioni (ca. €591mln), prevalentemente per clienti istituzionali, con un team di 4 persone.

La valutazione del ramo d'azienda di Sogenel è basato sull'utile pro-forma 2015, aggiustato per ogni eventuale voce non inclusa nel perimetro della transazione. In aggiunta, le controparti hanno stabilito un aggiustamento di prezzo legato al raggiungimento di determinati obbiettivi nel medio termine. Il closing dell'operazione prevede la notifica alla FINMA ed è previsto per luglio 2016, successivamente al risolversi di alcune condizioni previste nel contratto di compravendita. Azimut ed Enrico Crasso hanno inoltre concordato di lavorare insieme per far crescere il business in Svizzera nel medio-lungo periodo.
