Azimut reaches an agreement to buy the remaining 49% stake in Augustum Opus SIM

Milan, 29 July 2016

As anticipated on 28 July 2016, Azimut and the minority shareholders of Augustum Opus SIM reached an agreement for the acquisition of the remaining 49% stake owned by minority shareholders, who will continue working actively in the management of the business.

The valuation is in line with the initial acquisition of a 51% stake in 2013, except for the time frame upon which the valuation is based which is now set to 4 years compared to the 6 years initially planned.

As announced in the previous Press Release, the closing of the transaction will occur upon the cancellation of Azimut Holding from the Securities Investment Firms (SIM) register, and will entail a merger by incorporation of Augustum into Azimut Capital Management SGR.

Raggiunto l'accordo per acquistare il restante 49% di Augustum Opus SIM

Come preannunciato in data 28 luglio 2016, Azimut e i soci di minoranza di Augustum Opus SIM hanno raggiunto un accordo per l'acquisto da parte di Azimut del restante 49% in mano ai soci di minoranza, i quali continueranno a collaborare attivamente per gestire il business della società.

Le condizioni dell'acquisizione sono in linea con quelle iniziali del 2013 per l'acquisto del 51% del capitale, fatto salvo il periodo di riferimento per la valutazione ora previsto su un periodo di 4 anni anziché di 6 come originariamente previsto.

Come annunciato nel precedente comunicato, il closing dell'operazione avverrà dopo l'avvenuta cancellazione di Azimut Holding dall'albo dei Gruppi di SIM e con contestuale fusione per incorporazione di Augustum Opus SIM in Azimut Capital Management SGR.
