Sub.: Results of Postal Ballot under Regulation 44(3) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

In continuation to our letter no. AXIS/CO/CS/17/2024-25 dated April 10, 2024 and pursuant to Regulation 44(3) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we would like to inform you that the following resolutions as set out in our postal ballot notice dated April 4, 2024, have been passed by the members of the Bank through remote e-voting with requisite majority on Friday, May 10, 2024:

1.   Appointment of Pranam Wahi (DIN: 00031914) as an Independent Director of the Bank. (Special Resolution).

2.   Revision in ceiling of fixed remuneration granted to Non-Executive Directors (NEDs) excluding the Non-Executive (Part-time) Chairperson (Ordinary Resolution).

The results of aforesaid postal ballot and report of the scrutinizer viz. CS KVS Subramanyam, Practising Company Secretary, are attached herewith.
