SUB: APPOINTMENT OF MANOJ KOHLI AS AN ADDITIONAL INDEPENDENT DIRECTOR OF AXIS BANK LIMITED ("BANK").

REF.: DISCLOSURE UNDER REGULATION 30 OF SEBI (LISTING OBLIGATIONS AND DISCLOSURE  REQUIREMENTS) REGULATIONS, 2015.

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we would like to inform you that in terms of the applicable laws and based on the recommendations of Nomination and Remuneration Committee, the Board of Directors at its meeting held today i.e. Friday, June 17, 2022 has appointed Manoj Kohli as an Additional Independent Director of the Bank for a period of four years with effect from June 17, 2022 up to June 16, 2026 (both days inclusive).

He will hold office as an Additional Independent Director of the Bank up to the date of the ensuing 28th Annual General Meeting of the Bank and his appointment is subject to approval of shareholders. During his tenure as an Independent Director of the Bank, he shall not be liable to retire by rotation, in terms of Section 149(13) of the Companies Act, 2013.

Manoj Kohli is not related to any of the Directors or Key Managerial Personnel of the Bank. Further, in line with the Stock Exchange Circular dated June 20, 2018, it is hereby confirmed that he is not debarred from holding the office of director by virtue of any SEBI order or any other such authority.
