SUB:  Amendment to Articles of Association of Axis Bank Limited ("Bank")

We would like to inform you that in terms of the insertion of sub-regulation (6) in Regulation 23 of the Securities and Exchange Board of India (Issue and Listing of Non-convertible Securities) (Amendment) Regulations, 2023 ("ILNCS") dated February 2, 2023, the issuer whose debt securities are listed as on that date, shall amend its Articles of Association by September 30, 2023, to comply with the provision of sub-regulation (6), as under:

"(6) If an issuer is a company, it shall ensure that its Articles of Association require its Board of Directors to appoint the person nominated by the debenture trustee(s) in terms of clause (e) of sub-regulation (1) of regulation 15 of the Securities and Exchange Board of India (Debenture Trustees) Regulations, 1993 as a director on its Board of Directors."

Accordingly, the Board of Directors of Axis Bank Limited ("Bank") at its meeting held today, viz. April 28, 2023, approved amendment to the Articles of Association of the Bank to include a clause relating to appointment of one person nominated by the debenture trustee(s), only in case of events specified under clause (e) of sub-regulation (1) of Regulation 15 of the Securities and Exchange Board of India (Debenture Trustees) Regulations, 1993. Such amendment is subject to approval of the shareholders of the Bank and Reserve Bank of India.
