Sub: Outcome of the meeting of the Board of Directors of Axel Polymers Limited (“the Company”) held on Thursday July 24, 2025

Ref: Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended (“SEBI LODR Regulations”).

Dear Sir / Madam,

In continuation to our intimation dated July 20, 2025 and in accordance with provisions of Regulation 30 read with Schedule III of the SEBI LODR Regulations, we would like to inform you that the Board of Directors of the Company at its meeting held today i.e., July 24, 2025 has inter-alia considered and approved the following matter:

Approved the Unaudited Financial Results of the Company for the first quarter ended on 30th June, 2025, as reviewed and recommended by the Audit Committee, and the Limited Review Report issued by Statutory Auditors of the Company M/s. Mukund and Rohit., Chartered Accountants pursuant to Regulation 33 of the LODR.
Considered and approved issuance of equity shares of the Company on a preferential issue basis, subject to the approval of the shareholders and other necessary approvals, if any, up to 28,28,891 (Twenty-Eight Lakh TwentyEight Thousand Eight Hundred Ninety one) equity shares (“Equity Shares”) of the face value of ₹ 10/- each, at an issue price of ₹ 45/- (Rupees Forty five Only) (including a premium of ₹ 35/- (Rupees Thirty five only) per Equity Share, for cash, aggregating to ₹ 12,73,00,095/- (Rupees Twelve Crore Seventy Three Lakhs Ninety five Only) under Public category in accordance with the applicable laws including the provisions of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirement) Regulations, 2018, as amended, (“SEBI (ICDR) Regulations”), SEBI LODR Regulations and the Companies Act, 2013 and rules made thereunder, as amended from time to time.
Considered and approved holding of Extra-Ordinary General Meeting on Wednesday, 20[th] August, 2025

Further developments in this regard will be intimated to the exchange(s) in due course of time.
