In furtherance to our le�ers dated July 24, 2025 pursuant to the approval granted by the shareholders by way of Extra Ordinary General Mee�ng held on August 20, 2025 and in-principle approval from BSE Limited dated December 02, 2025, we wish to inform you that the board of directors of the Company at its mee�ng held on December 13, 2025, has approved the allotment of 24,84,444 (Twenty four lakhs eighty four thousand four hundred forty four) Equity Shares of the face value of Rs. 10 each fully paid up, on a preferen�al Basis to the allotees as men�oned in Annexure at an issue price of Rs. 45 per Equity Share (including a premium of Rs. 35 per Equity Share), aggrega�ng to Rs. 11,17,99,980 (Rupees Eleven Crore Seventeen Lakh Ninety-Nine Thousand Nine Hundred Eighty Only).
Further, the securi�es allo�ed on preferen�al basis shall be subject to such lock-in restric�on as prescribed under Chapter V of the Securi�es and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regula�ons, 2018.
Pursuant to the above allotment, the issued, subscribed and paid-up capital of the Company shall be as under:
