AVON RUBBER p.l.c.

("Avon", the "Group" or the "Company")

The Company has allotted and issued 300,000 ordinary shares of £1 each at par to ACS HR Solutions Share Plan Services (Guernsey) Limited (in its capacity as the trustee of the Company's Employee Share Ownership Trust No.1).  This is conditional only upon admission of the shares to the Official List of the UK Listing Authority and to trading on the London Stock Exchange.

An application for the listing of 300,000 ordinary shares of £1 each in the Company ("Ordinary Shares") has been made to the UK Listing Authority and the London Stock Exchange. The shares will be held by the Trustee in order to satisfy awards under the Avon Rubber p.l.c. Performance Share Plan 2010 (the "Plan").

The number of shares and interests in shares held by the trustee of Avon Rubber p.l.c. Employee Share Ownership Trusts No.1 and No.2 (the "Trusts"), following the allotment will be 1,542,111. This increases the holding of ACS HR Solutions Shares Plan Services (Guernsey) Limited (in its capacity as trustee of the Trusts) to 4.97%.

The issued share capital of the Company, following the above allotment, is 31,023,292 ordinary shares of GBP1 each with voting rights and this number may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
