NOTICE OF CHANGE IN SHARE CAPITAL
Colleferro (Rome), 25 November 2025 – Further to the press release published on 20 November 2025, Avio S.p.A. ("Avio" or the "Company") notifies, pursuant to Article 85-bis of the Issuers' Regulations adopted by Consob with resolution n. 11971/1999, the new composition of the Company' share capital (fully subscribed and paid up), following the completion of the share capital increase with pre-emptive rights approved by the Extraordinary Shareholders' Meeting of the Company held on 23 October 2025, for an aggregate maximum amount of Euro 400 million (including any share premium), the final terms and conditions of which were determined by the Board of Directors of Avio on 30 October 2025 (the "Rights Issue").
In the context of the Rights Issue, no. 19,630,197 new ordinary shares of Avio, without indication of par value, were issued for a total aggregate consideration of Euro 399,867,112.89 (of which Euro 66,742,669.80 will be allocated to share capital and Euro 333,124,443.09 to share premium).
The certification relating to the completion of the share capital increase pursuant to Article 2444 of the Italian Civil Code was filed today with the Companies' Register of Rome, together with the updated By-laws. The new version of the Avio's bylaws will be made available to the public in accordance with the terms provided for by applicable regulations.
