NOTICE OF CHANGE IN SHARE CAPITAL
Colleferro (Rome), 12 June 2025 – Further to the press release published on May 30, 2025, Avio S.p.A. ("Avio" or the "Company") notifies, pursuant to Article 85-bis of the Issuers' Regulations adopted by Consob with resolution n. 11971/1999, the new composition of the Company' share capital as of the date hereof following the exercise by Space Holding S.r.l. of aggregately n. 800,000 "Sponsor Warrant Space2 S.p.A." (the "Warrants").
In accordance with Articles 2.3, 3.1. and 3.4 of the regulation of the "Sponsor Warrant Space2 S.p.A." (the "Regulation"), on June 2, 2025 aggregately n. 800,000 ordinary shares of Avio were issued in favor of Space Holding S.r.l., with no par value and having the same rights as the Company's currently outstanding ordinary shares, at a price of €13.00 per share, applied for €1.00 to the implied accounting parity and for €12.00 to share premium, for a total countervalue of €10,400,000.
As a result of the issuance of the new shares, the Company increased its paid-up share capital in accordance with the resolution of the Extraordinary Shareholders' Meeting of Space2 S.p.A. held on June 17, 2015.
In light of the above, at the date hereof there are no further outstanding Warrants.
The Company currently holds n. 985,747 treasury shares.
The By-laws updated with the new amount of the share capital, including the certification relating to the completion of the share capital increase pursuant to Article 2444 of the Civil Code, was filed today for the registration with the competent Companies' Register, and will be made available to the public within the terms imposed by the law.
In light of the above, please find below the current composition of the Company's share capital.
