Sub: Outcome of Board Meeting
Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we would like to inform you that the Board of Directors of the Company in its meeting held on 14th June, 2021 have inter-alia, transacted the following businesses:
- To Consider the Migration of Equity Shares of the Company from NSE Emerge Platform to Main Board of National Stock Exchange of India Limited (Capital Segment) Board of Directors of the Company at its meeting held on Monday 14th June, 2021, Considered and approved the migration of 1,17,75,271 (One Crore Seventeen lakhs Seventy Five Thousand Two Hundred Seventy One) number of Equity Shares of the Company having a face value of Rs.10/- per Equity Share which are currently listed on Emerge platform of NSE to the main Board of National Stock Exchange of India Limited in terms of SEBI (ICDR) Regulations, 2018 subject to necessary approvals including the shareholder's approval by way of Postal Ballot.
2. Appointment of Chief Operating Officer (C.O.O) as Key Managerial Personnel
Appointment of Chief Operating Officer as Key Managerial Personnel of the Company Pursuant to Regulation 6 and 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Board of Directors of the Company at its meeting held on Monday 14th June, 2021, appointed Mr. Nagendra Kumar Sharma the Chief Operating Officer (C.O.O) as Key Managerial Personnel of the Company with immediate effect. Further, pursuant to Section 203 of the Companies Act, 2013 and Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Mr. Nagendra Kumar Sharma has been appointed as Key Managerial Personnel of the Company.
