IST through Video Conferencing ("VC") I Other Audio-Visual Means ("OAVM"), in accordance with the relevant circulars issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India (SEBI). 2. in compliance with the relevant circulars, the Annual Report for the financial year 2020-
• 21, comprising the Notice of the AGM and the standalone and consolidated financial statements for the financial year 2020-21, along with Board's Report, Auditors' Report and other documents required to be attached thereto, will be sent to all the members of the Company whose email addresses are registered with the Company /RT Al Depository Participant( s). 3. the members of the Company are provided with electronic voting (e-voting) facility to
• exercise their right to vote electronically on all the resolutions set forth in the notice of 28th AGM, whether member is holding shares in physical or in electronic form as on the cut-off date. The voting rights shall be reckoned on the paid-up value of the shares registered in the name of the member(s) I beneficial owner(s) (in case of electronic shareholding) as at the close of business hours on the cut-off date i.e. t» August, 2021. • 1. the details such as manner of (i) registering I updating email addresses, (ii) casting vote through e-voting and (iii) attending the AGM through VC I OAVM has been set out in the Notice of the AGM.

In terms of Section 91 of the Companies Act, 2013 read with Regulation 42 of the SEBI (Listing Obligation and Disclosure Requirements), Regulations, 2015 as amended from time to time the Register of Members and Share Transfer Books of the Company shall remain closed from 09.08.2021 to 14.08.2021 (both days inclusive) for AGM to be held on 14.08.2021 and determining the entitlement of the shareholders for the Dividend on equity shares of Re 1/- each fully paid-up, recommended by the Board of Directors for the financial year for the year 2020-21, if declared, at the AGM. The dividend, if declared at the AGM, will be paid as per the prescribed time line under the Act.
