Pursuant to provisions of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, The Board of Directors of the Company in their meeting held today i.e., Monday, 04[th] September 2023 at the Registered Office of the Company, inter-alia considered and approved the following business transactions:
- Re-appointment of Director Mr. Vasant Bhoir (07596882), liable to retire by rotation, subject to shareholders’ approval at the ensuing Annual General Meeting.
Disclosure pursuant to Regulation 30 of SEBI (LODR) 2015 is attached herewith as Annexure.
- Re-appointment of Mrs. Shakila Makandar (DIN: 06513263) as an Independent Director for the second term of five consecutive years w.e.f. 23[rd] October 2023 subject to shareholders’ approval at the ensuing Annual General Meeting.
Disclosure pursuant to Regulation 30 of SEBI (LODR) 2015 is attached herewith as Annexure.

The 39[th] Annual General Meeting of the Members of Company for FY 2022-23 will be held on Friday, 29[th] September 2023, at 9.30 a.m. at Sammelan Hall, A101, Samarth Complex, Jawahar Nagar, Goregaon (West), Mumbai – 400 104.

The Cut–off Date for the purpose of E-Voting is Friday, 22[nd] September 2023. The remote e- voting shall commence from Tuesday, 26[th] September 2023 at 9:00 a.m. and ends on Thursday, 28[th] September 2023 at 5.00 p.m. (IST).

Pursuant to Section 91 of the Companies Act, 2013 and Regulation 42 of the SEBI (LODR) Regulations, 2015, the Register of Members and Share Transfer Books of the company will remain closed for the period from Saturday, 23[rd] September 2023 to Friday, 29[th] September 2023 (Both days inclusive) for the purpose of Annual General Meeting.
