Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously reported in a Current Report on Form 8-K filed by Automatic Data Processing, Inc. (the “Company”) on February 14, 2022, David Goeckeler was appointed to the Company's Board of Directors ("Board") effective February 14, 2022. At the time of his appointment, the Board had not made a determination regarding committee assignments for Mr. Goeckeler. The Company is filing this amended Current Report on Form 8-K/A to report that effective April 6, 2022, Mr. Goeckeler has been appointed to serve as a member of the Compensation and Management Development Committee and the Corporate Development & Technology Advisory Committee (“CDTAC”) of the Board. Concurrent with these assignments, the Board also approved the rotation of Fran Katsoudas from the CDTAC to the Nominating/Corporate Governance Committee of the Board.
