Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On February 9, 2010, Automatic Data Processing, Inc., a Delaware corporation, announced that Enrique Salem had been elected to the Registrant’s Board of Directors on February 9, 2010. Mr. Salem is President and Chief Executive Officer of Symantec Corporation.

This election increases the size of the Registrant’s board to 12 directors
