Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On February 10, 2009, Automatic Data Processing, Inc., a Delaware corporation, announced that Linda R. Gooden had been elected to the Registrant’s Board of Directors on February 10, 2009. Ms. Gooden is presently an Executive Vice President of Lockheed Martin Information Systems & Global Services. She joined Lockheed Martin in 1980 and has held numerous positions of increasing responsibility culminating with her appointment to her current position in January 2007.

This election increases the size of the Registrant’s board to 13 directors.
