NOTICE: is hereby given that pursuant to the provisions of Sections 108, 110 and other applicable provisions, Parity of the Companies Act, 2015, as amended by the 17th and 18th applicable state framework (including Rules 20 and 22 of the Companies (Management and Administration Rules, 2014, as amended, General Circular No. 5333026 dated 22 September 2020) and along with other connected circulars issued by the Ministry of Corporate Affairs from time to time in this regard ("MCA Circulars"), Regulation 44 and other applicable provisions, Parity of the Securities and Exchange Board of India (Exiting Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), Secretariat Standard on General Meetings ("SS-G") and other applicable laws, rules and regulations (including any statutory modifications) or re-enactments thereof for the time being in force), the Company has completed the weekly and monthly record of the notice in 2015, "MCA Circulars" (Postal Status Notice), by e-mail to all the members whose names appeared as members beneficial owners in the Company's register of members' records of depositories i.e., National Securities Deposits and United and Central Depository Services (india) Limited (collectively, the "Depositories") as on 08 May 2026 ("Cut-off Date") and whose email addresses are registered with the Company's register and share transfer agent of the Company i.e., KFH Technologies Limited ("KFH") Depositories' depository participants seeking their approval through postal ballot including e-voting ("remote e-voting") to transact the special business items mentioned below:

The voting rights of the members (through remote e-voting) shall be reckoned with respect to the equity shares held by them as on 08 May 2026 (and of day) i.e., the Cut-off Date. Any person who is not a member as on the Cut-off Date should treat this notice for information purpose only.
In accordance with the MCA Circulars, a hard copy of the Postal Ballot Notice along with postal ballot forms and prepaid business reply envelope will not be sent to the members. The communication of the assent or dissent of the members would take place through remote e-voting system only.
The Company has engaged the services of KFH Technologies Limited for providing remote e-voting facility to all its members.
The voting period commences on Monday, 18 May 2026 at 9:00 a.m. (IST) and ends on Tuesday, 19 June 2026 at 5:00 p.m. (IST) (both days inclusive). Once the vote on the resolution is cast, the member shall not be allowed to change it subsequently. The remote e-voting shall not be allowed beyond the said date and time.
Shri Vaibhav Dandawala (ACS No. 51538, CP No. 27947), or taking him, Mr. Deepit Kulkarni (ACS No. 34733, CP No. 22552), Partners of Mr. Makarand R. Joshi & Co., Practicing Company Secretaries, has been appointed as ex-laborer ("Scribner") to conduct the postal ballot through remote e-voting process in a fair and transparent manner.

KFH's website https://evolvip.dh/tech.com and the websites of the stock exchanges v.d. SISE Limited www.bssindia.com "SISE" (and National Stock Exchange of India Limited www.rosendia.com "SISE").
The Company hereby requests all its members to register/ update their email address by following the instructions mentioned below. Further, post registration of email address by a member who holds shares are only had not registered their email ID, as on the Cut-off Date may request for (see 10 and password for remote e-voting by sending an email to airward.ira@dh/tech.com through the free registered email ID.
The Securities and Exchange Board of India ("SEBI") has mandated that any service request from members holding securities in physical stock shall be maintained only upon registration of the PAN and IFTC details in specified forms of the PAN, IFTC details (in the case of the PAN, IFTC details (in the case of the PAN and IFTC details) or changes/updates) and Form ISR-2 (specimen signature). The members are encouraged, in their own interest to provide choice of noncitation in Form ISR-13 (registration of nonmation) Form ISR-3 (updrug out of nonmation).

Members have an option to submit the aforesaid Forms in person or e-signed Forms online along with requisite documents by accessing the link https://m.dh/tech.com/danitars/cos/isc/defact.aspx# or physical forms can be sent through post at the address stated here/number to KFH.
Members holding shares in dematerialized mode, who have not registered/ updated their aforesaid details are requested to register/ update the same with their respective depository participants.
Recall of the remote e-voting will be declared by placing the same along with the "Scribner" report on the Company's website www.bajajauto.com as well as on the website of KFH viz.: https://evolvip.dh/tech.com and will also be communicated to NISE and BISE, within 2 (two) working days from the last date of remote e-voting i.e., on or before Thursday, 19 June 2026.
