AUTO TRADER GROUP PLC

TRANSACTION IN OWN SHARES

Auto Trader Group plc (the "Company") announces that on 29 June 2016 it purchased through Numis Securities Ltd the following number of its ordinary shares at an average price of 350.523p per share:

Number of ordinary shares purchased:                                                          250,000

Highest purchase price paid per share:                                                         356.4p

Lowest purchase price paid per share:                                                          348.8p

The purchased shares will be held in treasury.

Following the above transaction, the Company has 1,001,051,699 ordinary shares in issue and holds 2,491,957 ordinary shares in treasury. Therefore the total number of voting rights in the Company is 998,559,742 which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Auto Trader Group plc under the FCA's Disclosure and Transparency Rules.
