Auto Trader Group plc (the "Company")

Notification of transactions by Persons Discharging Managerial Responsibilities ("PDMRs")

On 22 June 2021, the Company was notified of the following transactions in Ordinary Shares of 1 pence of the Company ("Ordinary Shares") held jointly by Ed Williams, Director of the Company and Joanna Barkwill, a Person Closely Associated with Ed Williams.

(1)  A transfer of 325,000 Ordinary Shares to the UBS Donor Advised Foundation (Charity No. 1153551) for nil consideration. Ed Williams and Joanna Barkwill will exercise control in relation to that portion of the Foundation that represents their donation and therefore these shares will continue to be included in Ed Williams' overall holding. 

(2)  500,000 Ordinary Shares to each of the four children of Ed Williams and Joanna Barkwill (2,000,000 Ordinary Shares in total) for nil consideration, one of whom (Rebecca Williams) is considered to be a Person Closely Associated with Ed Williams.

Following these transactions Ed Williams, together with his Persons Closely Associated and shares under their control, holds 5,375,444 shares in the Company, representing approximately 0.56% of the total issued shares in the Company (excluding shares held in treasury).

This announcement is made in accordance with the requirements of the EU Market Abuse Regulation.
