Issue of Options under the AVG Performance Rights and Option Plan

Australi a n Vintage L imited (AV G ) have issu e d 4,000,00 0 Options under the AV G Performan c e Rights and Option Plan.

At the 2 015 Annu a l General M eeting hel d in November 2015, s hareholder s approved t he AVG Performance Rights and Option s Plan and t h e grant of 2 ,000,000 O p tions under the Plan to the CEO and Ex e cutive Dire c tor, Neil Mc G uigan. Th e Explanato r y Notes on Items of Bu s iness state d that the Exercis e Price for A VG shares w ill be the V olume Wei g hted Avera g e Price (V W AP) for AV G shares for the f i ve trading d a ys up to and including 2 November 2015. The E xplanatory N otes also s t ated that the Opti o n grants will be issued w ithin 12 m o nths of the d ate of the Annual Gene r al Meeting.

In addition to the 2, 0 00,000 Opt i ons to the C EO, the bo a rd approve d the issue o f a further 2 ,000,000 Options to AVG exe c utives.

2,000,0 0 0 options ( M r McGuiga n ) were dee m ed to be granted on 17 November 2 015 (AGM d ate) and 2,000,0 0 0 options ( o ther executives) were d e emed to b e granted on 18 Decemb e r 2015, the date the final ex e cutive part i cipants and quantum o f the awar d s were ap p roved by t h e Board, subject to completion of the d o cumentatio n of the offer on 15 April 2016. The O ptions pro v ided to the e xecutive particip a nts are on t he same te r ms as thos e provided t o the CEO, M r Neil McG u igan, in ac c ordance with the terms appr o ved by shar e holders.

AVG acknowledges that the att a ched appe n dixes have been lodge d late and n o t in accord a nce with time fra m es provide d by listing r u les 3.19A a nd 3.19B. T hese appe n dixes were l odged late d ue to an adminis t rative over s ight and th e fact that th e re were d e lays in finalising the ac t ual apportionment of the sha r e options b e tween individual executi v es.

AVG h a s a Securities Trading Policy that p rovides cle a r instructio n s regardin g Directors s ecurities trading a nd notification. This po l icy is discu s sed at boar d level.
