APPOINTMENT AND RESIGNATION OF DIRECTORS

Altius Mining Limited (AYM) wishes to announce that Directors, Mr Boyd Pratt and Mr Ross Mack, have resigned as Directors of AYM as of 6 February 2012.

Mr Pratt and Mr Mack were required, in any event, to stand down from the Board, pursuant to ASX Listing Rules 14.4, at the close of the Adjourned AGM.

The Company wishes to thank Mr Pratt and Mr Mack for their services to the Company.

The Company is pleased to announce that the Board has appointed the following individuals to its Board of Directors, effective from the close of the Adjourned AGM:

1. Mr David Herszberg; and

2. Mr John Slade

The incoming Board members have been appointed to ensure that, following the Adjourned AGM, the Company can continue to be effectively managed and does not breach its obligations under the Corporations Act 2001 and the Constitution by having less than three directors.
