Corrigendum to the No�ce of the 1[st] Extra Ordinary General Mee�ng of FY 2025-26

Aurum PropTech Limited (“Company”) had issued a no�ce dated July 23, 2025 (“No�ce of the EGM”) for convening the Extra-Ordinary General Mee�ng (“EGM”) (01/2025-26) of the members of the Company which is scheduled to be held on Thursday, August 21, 2025 at 2:00 P. M. (IST) through Video Conferencing (“VC”)/ Other Audio Visual Means (“OAVM”). The No�ce of the EGM has been dispatched to the shareholders of the Company in due compliance with the provisions of the Companies Act, 2013 read with the relevant rules made thereunder.

This corrigendum is being issued to give no�ce amend/provide addi�onal details as men�oned herein and pursuant to the provisions of SEBI (Issue of Capital and Disclosure Requirements) Regula�ons, 2018.

Item No. 1

We refer to Item No. 1 of the No�ce of EGM which pertains to consider and approve the acquisi�on of 100% stake in PropTiger Marke�ng Services Private Limited (Target Company) by way of Preferen�al Issue of equity shares of the Company:

Explanatory statement of Item no. 1

  • a. Point No. 13. of Explanatory Statement, on page no. 21 of EGM no�ce, shall be read as below:

  • b. Point number 15 of Explanatory Statement, on page number 22 of the EGM No�ce, shall be read as below:

Lock-in Period:

The pre-preferen�al allotment shareholding of the Proposed Allo�ees, if any and the equity shares to be allo�ed on a preferen�al basis to the Proposed Allo�ees, shall be subject to lock-in for such period(s), as may be applicable, in accordance with the provisions of Regula�on 167 of Chapter V of the SEBI ICDR Regula�ons and any other applicable law for the �me being in force.

c. Valua�on report:

Corrigendum to Valua�on report dated August 18, 2025 by Nishant Soni & Associates, Chartered Accountants, a Registered Valuer (IBBI Registered Valuer Number IBBI/RV/06/2019/10745), having address at Unit No. 122, 1st Floor, Nahar and Seth Estate, Cardinal Gracious Road, Chakala, Andheri (E), Mumbai -400009 pertaining to valua�on methodologies.

The corrigendum to valua�on report shall be available for inspec�on by the members and the same may be accessed on the Company's website at the link h�ps://www.aurumproptech.in/.

This Corrigendum/ Addendum to the No�ce of EGM shall form an integral part of the EGM No�ce, which has already been circulated to the shareholders of the Company, and on and from the date hereof, the EGM No�ce shall always be read in conjunc�on with this Corrigendum / Addendum. Accordingly, all concerned shareholders, Stock Exchanges, Depositories, Registrar and Share Transfer Agent, agencies appointed for evo�ng, other Authori�es, regulators, and all other concerned persons are requested to take note of the above changes. All other contents of the EGM No�ce, save and except as modified or supplemented by this Corrigendum, shall remain unchanged.

This following Corrigendum/ Addendum in the No�ce/Explanatory statement is also being published in the newspaper and also be made available on the website of the Company at h�ps://www.aurumproptech.in/investor/general-mee�ng and on the website of BSE Limited at www.bseindia.com and Na�onal Stock Exchange of India Limited at h�ps://www.nseindia.com/ where the shares of the Company are listed.

We would like to inform those members, who have already cast their votes in the remote e-vo�ng period which begins on Monday, August 18, 2025 at 9:00 A.M. postal ballot i.e. a�er the start of e-vo�ng but prior to receiving this corrigendum to EOGM No�ce dated July 23, 2025, that if they wish to modify their votes in light of the informa�on provided in this corrigendum, they can do so by wri�ng an email to the scru�nizer at [email protected] on or before Wednesday, August 20, 2025 at 5:00 P.M. The scru�nizer will ensure that any modifica�ons to the votes are duly recorded and taken into considera�on.
