Non-Binding Term Sheet for proposed commercial venture signed by Aurora Labs
Highlights:

A non-binding Term Sheet signed between Aurora Labs and WorleyParsons.

The relationship to focus on four areas – Licence and Distribution Agreement, Design and Certification (Solutions Centre), Print Bureau, and Powder Production. Each of these areas is discussed in this announcement.

Aurora has been in discussions with some of the world’s largest mining companies concerning assisting them to reduce their inventories of spare parts through the use of Aurora’s 3D metal printers.

The proposed venture seeks to bring together Aurora’s products and technology with an existing substantial network with a view to delivering the benefits of advanced 3D metal printing technologies to the major infrastructure, mining and other resource companies around the world.
Other industries and sectors will also be targeted.
Aurora Labs Limited (ASX code: A3D) (Aurora) is very pleased that it has today signed a nonbinding Term Sheet with WorleyParsons Services Pty Ltd (WorleyParsons), through their business unit Advisian, WorleyParsons’ global advisory and consulting business.
The Term Sheet is to operate for 12 months or such longer period as agreed between the parties but the Term Sheet is not legally binding on the parties.
The Term Sheet has four objectives which are discussed in summary below:
• Licence and Distribution
It is proposed that, through a non-exclusive licence and distribution agreement, Aurora’s 3D metal printing machines and consumables (the Products ) will be sold and distributed.
• Design and Certification – ‘Solutions Centre’
It is proposed to include the establishment of a business for the development of designs that can be purchased and used for the Products (the Solutions Centre ). The designs created in the Solutions Centre will be hosted or form part of a broader online designs catalogue to be developed by Aurora.

Print Bureau
It is also proposed to include the establishment of a printing bureau whereby designs are printed for third parties using Aurora’s machines, whether from the Solutions Centre or online catalogue of designs or from client supplied designs.

Powder Production
Opportunities to create a market for bulk and specialty powders to be used by Aurora’s machines will also be explored.
Whilst Aurora is optimistic that a more definitive arrangement may be reached, there is no assurance that any legally binding agreement will be entered into or that any matter contemplated by the Term Sheet will be completed.
