REPLACEMENT PROSPECTUS TO BE ISSUED

RESOURCE AND INVESTMENT NL (ASX: RNI) (RNI or the Company) wishes to announce that it is revising the terms of its Offer pursuant to the Prospectus dated and lodged on 17 February 2012 and that accordingly the timetable in that Prospectus will be varied and is no longer valid.

The Company is proposing to lodge a replacement prospectus (Replacement Prospectus), including a revised timetable, with the Australian Securities and Investments Commission and ASX as soon as practicable.

The Company will make a further market announcement to confirm lodgement of the Replacement Prospectus.
