NOTICE IN ACCORDANCE WITH SECTION 708(A) OF THE CORPORATIONS ACT 2001 (Cth)

RESOURCE AND INVESTMENT NL (ASX: RNI) (the Company) has completed the issue of 72,000,000 fully paid ordinary shares in the Company (Placement Shares) to institutional and sophisticated investors, by way of a placement approved by a resolution of the Company’s shareholders on 6 March 2012.

The Company gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) (the Corporations Act) that:

1. the Placement Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

2. as at today’s date, the Company has complied with:

   • a. the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

   • b. section 674 of the Corporations Act.

3. As at today’s date, there is no information that is excluded information for the purposes of sections 708A(7) and (8) of the Corporations Act.
