Issue of shares to AuKing Mining Limited and Cleansing Notice

Further to its announcement on 18 February 2025 regarding the Halls Creek Project Earn in Agreement ( Halls Creek Project ), this notice ( Notice ) is given by Cobalt Blue Holdings Limited (ASX: COB) ( Company ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (the Act ). The Company advises that it has today issued 2,777,778 fully paid ordinary shares ( Shares ) to AuKing Mining Limited (ASX: AKN).

The Shares are issued as consideration for a 51% beneficial interest in the Halls Creek Project. The Shares are subject to voluntary escrow and will cease to be subject to escrow from 17 August 2025. All conditions as set out in section 7A.1 of the Appendix 3B lodged on 18 February 2025 in relation to the Shares have been satisfied and the Shares will be issued on an unconditional basis.

The Company has issued the Shares pursuant to the Company's available capacity under ASX Listing 7.1.

An Appendix 2A form has been lodged for these Shares on 5 March 2025.

Cleansing Notice

For the purposes of sections 708A(5)(e) and 708A(6) of the Act, the Company hereby advises that:

• (1) the Shares were issued without disclosure to investors under Part 6D of the Act;

• (2) this Notice is being given under section 708A(5)(e) of the Act;

• (3) as at the date of this Notice, the Company has complied with:

  • (a) the provisions of Chapter 2M of the Act as they apply to the Company; and

  • (b) sections 674 and 674A of the Act.

• (4) there is no other information that is excluded information of the type referred to in sections 708A(7) or 708A(8) of the Act, as at the date of this Notice, that is required to be set out in this Notice under sections708A(6)(e) of the Act.
