Dear Optionholder
China Yunnan Copper Australia Limited – Notice to Option Holder
The option register for China Yunnan Copper Australia Limited ( Company ) indicates that you are the holder of options to acquire ordinary shares in the capital of the Company ( Options ).
In accordance with the terms of issue of the Options, notice is given that the Company intends to undertake a non-renounceable pro-rata rights issue of new shares ( Rights Issue ), available for subscription by existing holders of ordinary shares in the Company on the basis of 2 new share for every 5 existing share held in the Company ( New Shares ). The New Shares are to be at an issue price of $0.15 per New Share.
As an Option Holder, you are permitted to participate in the issue of New Shares under the Rights Issue only in the event that you exercise your existing Options prior to the record date selected by the Company for determining entitlements to participate in the New Share issue, being Tuesday, 15 September 2009 at 7.00pm (Brisbane time) ( Record Date ).
The Rights Issue is being made without a disclosure document, under the exemption granted in section 708AA of the Corporations Act 2001 (Cth). Accordingly, the Company will prepare and send an offer document for the Rights Issue to all eligible shareholders on 21 September 2009.
