Procedure for amendments of the Articles of Association

The Articles of Association can be changed following the procedure set by Law on Companies of the Lithuanian Republic with an appropriate approval of the Company's shareholders.

The bodies of the Company are general meeting of the shareholders, the Supervisory Council, the Board of Directors and General Manager. The Supervisory Council (consisting of 3 members) is elected by the shareholder meeting. The Board of Directors is formed from 5 members. The chairman is elected by the Board. Material transactions with related parties

On 27 February 2018 AUGA group, AB and Baltic Champs Group, UAB signed loan agreement on extension of up to EUR 3 million loan. As at 30 June, 2018 the loan was accounted in short-term financial liabilities. On 24 August 2018 the loan was repaid in full.

Comments to the Financial Information

General information

AUGA group, AB was founded and started its operations on 25 June 2003. The Company's head office is located in Konstitucijos av. 21C, Quadrum North, Vilnius, Lithuania. The Company's main activity is management of agricultural companies.

In 2003 the Company's legal name Galuvė UAB was changed to Agrovaldymo grupė UAB. In February 2006, limited liability company Agrovaldymo grupė was reorganized to a public company Agrovaldymo grupė AB. In December 2007 the Company's name was changed to Agrowill Group AB. In September 2016, the Company's name was changed to current name – AUGA group, AB. The ultimate shareholder of AUGA group, AB is Baltic Champs Group, UAB which is 100% owned by Kęstutis Juščius.

The Company's shareholders' meeting has the power to reject and request the management to reissue financial statements after issue. Starting since 2 April 2008 the Company was listed on Vilnius Stock Exchange Main list, since 1 May 2009, the Company was moved to the Secondary list of NASDAQ Vilnius Stock Exchange. On 27 August 2018 the shares in the Company were listed on Nasdaq Vilnius Baltic Main list. As of 8 July 2011, the Company's shares are also traded on the Warsaw Stock Exchange. The fiscal year of the Company and its subsidiaries corresponds with calendar year.

As of 30 June 2018, the consolidated Group (hereinafter the Group) consists of the Company and one hundred thirty five subsidiaries (31 December 2017: one hundred thirty six subsidiaries). Basis of preparation

Except as described below, the accounting policies applied are consistent with those of the annual financial statements for the year ended 31 December 2017, as described in those annual financial statements.

The accompanying interim financial information for the period ended 30 June 2018, has been prepared in accordance with IAS 34, 'Interim financial reporting'. This financial information should be read in conjunction with the annual financial statements for the year ended 31 December 2017, which have been prepared in accordance with IFRS as adopted by the EU.

The preparation of financial information in conformity with IAS 34 requires the use of certain critical accounting estimates. It also requires management to exercise its judgement in the process of applying the group's accounting policies. The areas involving a higher degree of judgement or complexity, or areas where assumptions and estimates are significant to the consolidated financial information, are disclosed below.

Critical accounting estimates and assumptions

The Group makes estimates and assumptions concerning the future. The resulting accounting estimates will, by definition, seldom equal the related actual results. The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognized in the period in which the estimate is revised if the revision affects only that period or in the period of the revision and future periods if the revision affects both current and future periods. The estimates and assumptions that have a significant risk of causing a material adjustment to the carrying amounts of assets and liabilities in future periods are addressed below.

Income taxes

Tax authorities have right to examine accounting records of the Company and its Lithuanian subsidiaries at any time during the 5 year period after the current tax year and account for additional taxes and fines. In the opinion of the Group's management, currently there are no circumstances which would raise substantial liability in this respect to the Group.

Business combinations

On 26 February 2018 AUGA group, AB has completed the purchase of 100% share of UAB Raseinių agra (now – UAB AUGA Raseiniai) for EUR 2.4 million. Share sale and purchase agreement was signed on 10 November 2017, as per released notification on material event. UAB Raseinių agra was established in October 2017 as a result of spin-off procedure from UAB Agra Corporation, shareholders of which decided to withdraw from agricultural business and to focus in the area of investment property management. UAB Raseinių agra managed around 5,200 ha of agricultural land. The preliminary fair value estimation of UAB Raseinių agra as at the date of acquisition is as follows:

The purchase price allocation of the acquired net assets will be finalized till the end of 2018.

The Group has acquired UAB Raseinių agra to expand its agricultural land area and increase efficiency of human and technical resources. The companies under acquisition are located next to Group's cultivation areas in the Raseiniai region.

The fair value of acquired trade receivables is EUR 337 thousand. The gross contractual amount for trade receivables is EUR 337 thousand, of which none is expected to be uncollectible.

The acquired UAB Raseinių agra did not contribute any revenue or profit (loss) to the Group for 12 months period till 26 February 2018.

If the acquisition of UAB Raseinių agra had occurred on 1 January 2018, the Group's Revenue of 2018 would have been larger by EUR 29 thousand; net profit lower by EUR 169 thousand.

On 9 February 2018 the Group has signed a contract to sell two subsidiaries - Karakash OOO and Karakash Agro OOO which were operating in Crimea. The sale was finalized in 10 May 2018 and the gain on the transaction was accounted in other income. The result in the table is the preliminary impact based on the current assessment of timing and amount of payment. The details of the result of the Group's subsidiaries disposal is as follows:

The Group Revenue increased by 10% in the first half of 2018 compared to the same period last year. Revenue from mushroom growing segment increased by 10%, as the first quarter of 2017 sales were negatively impacted by temporary problems in production. Revenue from dairy segment in the first half of 2018 remained on the same level as in the same period last year. Crop growing segment sales in the first half of 2018 increased by 17% mainly due to the price premium of the sertified organic produce aswell as increased sales volumes.

The total Group cost of sales increased mainly due to higher sales volumes. The crop growing segment cost of sales represents the value of 2017 year's agricultural produce at the point of harvest which did not change significantly till the actual sales in the first half of 2018. In the same period of 2017, however, the market prices of the crops increased and were significantly higher from the point of harvest in 2016 which let the Group to accumulate an additional gross profit in 2017. Dairy segment cost of sales increased due to higher value of crops used for feed. State subsidies increased due to the increase in total hectares of land cultivated by the Group.

Due to the fact that the Group has signed an agreement to sell its subsidiaries Karakash agro OOO and Karakash OOO, the impairments of assets which were done in previous periods were reversed to meet the assets' value at the moment of the sale. In May, 2018 the sale transaction of Karakash agro OOO and Karakash OOO was completed. Secondly, the company accrued all the expenses which needs to be paid due to termination of Arginta Engineering UAB purchase agreement. Except these two transactions the Group's operating expenses were in-line with the same period last year.

Equity

The share capital of AUGA group, AB as at 30 June 2018 was EUR 54,351 thousand. The share capital was divided into 187,416,252 ordinary shares. Each issued share has a EUR 0.29 nominal value and is fully paid. Each share had usual material and intangible rights as per Law on Companies of the Republic of Lithuania and the Company's Articles of Association.

A legal reserve is a compulsory reserve under Lithuanian legislation. Annual transfer of 5% of net profit, calculated in accordance with Lithuanian regulatory legislation on accounting, is compulsory until the reserve including share premium reaches 10% of the share capital. The legal reserve can be used to cover the accumulated losses. The legal reserve of the Company equalled EUR 1,649 thousand as at 30 June 2018 and EUR 579 thousand as at 31 December 2017.

A reserve to grant shares for employees amounting to 3,300,000 ordinary registered shares and with a total value of EUR 957 thousand was formed based on the Company's shareholders' meeting on 30 April 2018. Shares may be granted until the next ordinary general meeting of shareholders, according to the terms of the rules for granting Company's shares to employees and (or) members of the bodies of the Company and its subsidiaries.

IV. THE NEWEST AND ESSENTIAL EVENTS IN THE ACTIVITY OF THE ISSUER

The newest events in the activity of the Issuer

New wording of Articles of Association of AUGA group, AB and the new shares were registered

On 23 August 2018 the increased authorized capital of the Company and its new wording of Articles of Association have been registered with the Register of Legal Entities and the new shares of the Company were registered with Nasdaq CSD, SE.

During the public offering of shares the Company has allotted 40,000,000 units of new shares and 40,000,000 units of existing shares, held by Baltic Champs Group UAB, the issue (sale) price of which was EUR 0.45 for each share. Following the increase of the authorised capital of the Company, such capital is equal to EUR 65,950,713.08 and is divided into 227,416,252 units of shares, which grant 227,416,252 votes. Nominal value per share – EUR 0.29.

Dispute with the Bank of Lithuania re value of eTime invest UAB shares and payment for the shares of the Company – settled

There was a dispute between the Company and the Bank of Lithuania regarding the obligation of the Company to re-evaluate the non-monetary contribution and to amend the financial statements according to the international accounting standards, which was already settled.

On 15 February 2016, the Bank of Lithuania obliged the Company to re-evaluate the value of the shares of UAB eTime invest which, as a non-monetary contribution, were used to pay up part of the shares in the Company in 2014 during the merger with Baltic Champs, UAB. The Company appealed the decision of the Bank of Lithuania to the court, however, the first instance court rejected the Company's claim. The Company filed an appeal to the appeal court which sustained part of the above decision, requiring the Company to re-evaluate true value of 100 per cent of shares in UAB eTime invest, used for payment of part of authorized capital of the Company, and in case the conclusion would have been reached that the shares in the Company were not fully paid, to rectify situation as required according to applicable laws and regulations by 1 May 2016. The remaining disputed parts of the decision (regarding warning and instruction to retrospectively correct financial accounts for year 2015) were referred back to a court of the first instance.

In parallel to the above litigation, on 18 May 2018 a repeated retrospective valuation of 100% of shares in UAB eTime invest was completed and a new valuation report issued by UAB Newsec valuations. The Authority of Audit, Accounting, Property Valuation and Insolvency Management under the Ministry of Finance of the Republic of Lithuania checked the respective report on retrospective valuation of 100% of shares in UAB eTime invest of 18 May 2018 and determined on 11 June 2018 that it complied with the requirements of Article 22 of the Law of the Republic of Lithuania on the Bases of Property and Business Valuation. Taking this into account, the above instruction of the Bank of Lithuania has been duly fulfilled, which means that there is no dispute regarding payment for previously issued shares of the Company. Thus, all of them are fully paid-up.

Signed new material loan agreements

On 22 December 2017 AUGA group, AB signed credit line agreement with Luminor bank AB. Credit line is available until 21 December 2018 and can be prolonged until 21 December 2019. Credit line's limit is EUR 17.6 million (out of which EUR 13.8 million were used at 30 June 2018). Part of the proceeds (EUR 12 million) were used to refinance existing AUGA group, AB and Group companies' credit line facilities. The remaining limit is used to finance increased working capital. The credit line facilities are secured by pledge of shares in Group's agricultural companies, mortgage of agricultural companies' real estate and enterprise mortgages of agricultural companies.

On 20 June, 2018 AUGA group, AB has signed Credit Line Agreement with Swedbank AB for additional EUR 5 million (out of which EUR 5 million were used at 30 June 2018) which is available until 21 December, 2018. The credit line facility is secured by enterprise mortgages of agricultural and mushroom growing companies.

On 27 February 2018 AUGA group, AB and Baltic Champs Group, UAB, that held 88.13 per cent of shares in AUGA group, AB, signed loan agreement on extension of up to EUR 3 million loan. The loan was provided with no collateral, there was no up front or similar fees, and with fixed interest rate that met market conditions. On 24 August 2018 the loan was repaid in full.

Termination of acquisition of shares in UAB Arginta Engineering

On 22 January 2018 AUGA group, AB signed the Share Sale and Purchase Agreement to acquire 100% share capital of UAB Arginta Engineering for EUR 6.4 million. However, on 14 March 2018 AUGA group, AB decided to terminate the Share Sale and Purchase agreement and instead, has chosen to cooperate on technology development with UAB Arginta Engineering on a contractual basis. Following this agreement, AUGA group, AB will pay a termination fee of EUR 715,000, due no later than 31 December 2018.

Dividends from subsidiaries

During the general meetings of shareholders of subsidiaries of AUGA group, AB: ŽŪB AUGA Želsvelė, ŽŪB AUGA Mantviliškis, ŽŪB AUGA Skėmiai, ŽŪB AUGA Smilgiai, ŽŪB AUGA Spindulys, UAB Traktorių nuomos paslaugos, UAB Traktorių nuomos centras, UAB AWG Investment 1, UAB AGROSS held in 2018, a decisions were made to pay out dividends to shareholders. AUGA group, AB has received EUR 3,822 thousand dividend income.
