Appendix 3Y – Late lodgement and correction

Audinate Group Limited (‘ Audinate ’ or the ‘ Company ’) refers to the Appendix 3Y for each of Mr John Dyson and Mr Roger Price that accompany this letter, and advises as follows:

1. The Appendix 3Y regarding Mr Dyson’s director interests relate to a change which occurred on 1 March 2018. An Appendix 3Y was released on 6 March 2018 however it contained typographical errors incorrectly identifying Joyce Dyson as Mr Dyson’s spouse. The attached Appendix 3Y regarding Mr Dyson’s interests replaces the Appendix 3Y lodged on 6 March 2018. The Company confirms there has been no change in Mr Dyson’s interests in the Company since the 6 March 2018 lodgement.

2. The Appendix 3Y regarding Mr Price's director interests relate to a change which occurred on 8 March 2018. Mr Price’s Appendix 3Y, which was due to have been lodged by 15 March 2018, has been lodged late due to an administrative oversight. Once notified the Company promptly lodged the Appendix 3Y.

3. The Company has reviewed and updated the process relating to director interests disclosure. The Company confirms that a Director’s Disclosure Agreement is in place with each director of Audinate and the interests of each director are reviewed and confirmed regularly. The Company is satisfied that it has the necessary reporting and notification policies in place to ensure compliance with its disclosure obligations under ASX Listing Rule 3.19A, and considers the late lodgement of the Appendix 3Y to be an isolated incident.

4. The Company is satisfied that its procedures are adequate to ensure compliance with ASX Listing Rule 3.19B.
