CLEANSING NOTICE

Shares issued under Institutional Placement Notice under section 708A(5)(e) of the Corporations Act 2001

This notice is given by Audinate Group Limited (ABN 56 618 616 916) ( Company ) under section 708A(5)(e) of the Corporations Act 2001 ( Corporations Act ).

The Company today issued 3,846,154 fully paid ordinary shares ( Shares ) at an issue price of A$13.00 per Share to institutional and professional investors under the institutional placement announced on 7 September 2023.

The Company advises that:

• a. the Shares were issued without disclosure to investors under Part 6D.2 of the Act;

• b. this notice is being given under section 708A(5)(e) of the Act;

• c. as a disclosing entity, the Company is subject to regular reporting and disclosure obligations;

• d. as at the date of this notice, the Company has complied with:

  • a. the provisions of Chapter 2M of the Act, as they apply to the Company; and

  • b. section 674 of the Act; and

• e. as at the date of this notice, there is no information that is “excluded information” within the meanings of sections 708A(7) and 708A(8) of the Act.
