Auction Technology Group plc (the "Company")
Notification of Transactions by Persons Discharging Managerial Responsibilities ("PDMRs")
The Company announces that on 13 June 2025, the conditional share award granted to Jeremy Stewart, a PDMR, by the Company on 19 September 2022 was amended and restated to include changes to the performance period, performance conditions and the number of shares subject to the award (the "Amended and Restated Awards").
The Amended and Restated Awards have been granted in accordance with the rules of the Company's Long Term Incentive Plan, and granted in connection with Mr Stewart's developing role as President of Industrial & Commercial North America. The Amended and Restated Awards will vest at the end of a performance period expiring on 30 December 2029 subject to Mr Stewart's continuing employment and the satisfaction of certain performance conditions.
The relevant notifications set out below in relation to the Amended and Restated Awards are provided in accordance with the requirements of Article 19 of the UK Market Abuse Regulation.
