Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously disclosed by AT&T Inc. on August 26, 2019, John Donovan, Chief Executive Officer of AT&T Communications, LLC, announced he was leaving the company effective October 1, 2019.

On September 3, 2019, Mr. Donovan entered into an Agreement and Release and Waiver of Claims (the “Agreement”). Pursuant to the terms of the Agreement:

• Mr. Donovan will receive a cash payment of $7,850,000.

• Mr. Donovan’s restricted stock granted in 2015 will vest upon his leaving the company on October 1, 2019.

• Beginning October 2, 2019, Mr. Donovan will provide consulting services for one year for an aggregate fee of $2,800,000.

The Agreement also includes a release and waiver of claims by Mr. Donovan and contains various covenants, including restrictive covenants relating to non-competition, non-solicitation and confidentiality.
