Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 29, 2012, the Board of Directors of AT&T Inc. increased the size of the Board from 11 to 12 members and elected Scott T. Ford as a Director to fill the resulting vacancy. The Board appointed Mr. Ford to the Corporate Development and Finance Committee and to the Public Policy and Corporate Reputation Committee. Mr. Ford will participate in the compensation program for non-employee Directors as described beginning on page 7 of AT&T's 2012 Proxy Statement.
