The AGM has approved the board proposal of a dividend of EUR 0,26 per share. 2) Supervisory Board elections Mag. Hans- Jörg Kaltenbrunner and Prof. Mag. Dr. Gerhard Nauer were elected as new members to the Supervisory Board of AT&S AG 3)Share buy back programme The resolution on the amendment of the resolution passed in the general shareholders meeting of 06.07.2000 on the authorisation of the company to acquire its own shares up to a value of 10% of the nominal capital, for the purpose of the acquisition by the leading employees and the board of management, to the effect that the company is henceforth authorised, in accordance with § 65 paragraph 1, line 8 of the AktG Austrian law on commercial companies in the version of the Aktienoptionengesetzes Law on share options, BGBl. I Austrian Legal Gazette No. 42/2001 to acquire its own shares in the company in the amount of up to 10% of the nominal capital of the company in accordance with the statutory provisions was adopted by the AGM. In this share purchase, the purchase price for each individual share certificate to be acquired may not fall below 1.1 euro and may not exceed 110 (one hundred and ten) euro. In addition a resolution on the extension of the authorisation to repurchase the companys own shares by a further 18 months from the day the resolution was passed, consequently until 05.01.2003, and authorisation of the managing board, if necessary, to call in its own shares without requiring a further resolution of the general meeting of shareholders was approved.
