ATOSS Software AG: Sale of Software Product AENEIS as of January 1, 2006

The issuer is solely responsible for the content of this announcement. —————————————————————————— ATOSS Software AG announces that with effect from January 01, 2006, it is selling its AENEIS software product to intellior AG. intellior AG is a company set up by former employees of ATOSS Software AG who during their time with ATOSS were actively engaged in providing service and support for the AENEIS product. The sale will generate extraordinary earnings of EUR 0.4 million in Q1 2006. Contracts were signed by ATOSS and the purchasers on the afternoon of December 21, 2005. The agreement included a provision allowing ATOSS Software AG to withdraw from the deal, however this right expired as of today, midday. With effect from January 01, 2006, the acquirer will assume all existing material contractual obligations covering all aspects of AENEIS software. The sale of AENEIS will have no major impact on turnover at ATOSS in financial year 2006, however it will have a positive effect on earnings. On the one hand, restructuring measures already implemented at the Business Process Management division which included AENEIS will yield cost savings in the order of EUR 0.6 million. Some of the funds thus released will be reinvested in other areas. While on the other hand, this extraordinary income means that from a present perspective, the goal of a 5 % EBIT return for the year 2006 looks certain to be achieved.
