F1: For estate planning purposes, Kim R. Cocklin (the "Reporting Person") gifted an aggregate 100% partnership interest in a limited partnership controlled by him and the record holder of 48,000 shares of Common Stock of the Issuer, to three trusts established by him for the benefit of each of his three adult children. Prior to making such gifts, on December 3, 2021 the Reporting Person transferred 48,000 shares of Common Stock of the Issuer directly owned by him to the limited partnership for no consideration; at such time, the Reporting Person owned 100% of the partnership interests and therefore continued to beneficially own all of the shares of the Issuer's Common Stock held of record by the limited partnership. As a result of the reported transaction, the Reporting Person no longer possesses voting or dispositive control over, or any pecuniary interest in, the shares of the Issuer's Common Stock held of record by the limited partnership.
